1. Introduction

Welcome to PromptEase. By accessing or using our website, services, and platform (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services.

PromptEase is a platform that allows users to create, run, buy, and sell AI-powered Prompt Systems and workflows.

2. Account Registration and Security

To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. PromptEase will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3. Marketplace and Transactions

3.1 Buying

When you purchase a Prompt System from the PromptEase Marketplace, you are purchasing a non-exclusive license to use the system. All payments are processed securely via our payment providers (e.g., Razorpay, Stripe). Refunds are generally not provided for digital goods unless the system is demonstrably non-functional or violates our terms. Please see our Refund and Cancellation Policy for detailed criteria.

3.2 Selling

Creators who list systems for sale must ensure they own the intellectual property or have the right to distribute the content. PromptEase takes a platform fee on all sales. Creators must complete the KYC verification process before receiving payouts. Payouts are processed on a rolling basis subject to minimum balance requirements.

4. Acceptable Use Policy

You agree not to use the Services to:

• Violate any local, state, national, or international law or regulation.
• Generate, distribute, or promote illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or hateful content.
• Infringe upon the intellectual property rights of others.
• Attempt to bypass, exploit, or disrupt the security of the platform or the AI models provided.
• Use the referral system fraudulently or create multiple accounts to exploit bonus limits.

5. Intellectual Property

The platform itself, including its original content, features, and functionality, are owned by PromptEase and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Users retain ownership of the Prompt Systems they create. By listing a system on the public Marketplace, you grant PromptEase a worldwide, royalty-free license to display and distribute the system to buyers.

6. API Integrations and Third-Party Services

PromptEase integrates with third-party services like Google Docs, Notion, Shopify, and Slack. We are not responsible for the availability, accuracy, or content of these third-party services. Your use of third-party services is governed by their respective Terms of Service and Privacy Policies.

7. Limitation of Liability

In no event shall PromptEase, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
